Important Shareholder Information - Lion Nathan Takeover Offer - 19/12/2002
Lion Nathan Limited announced today that it intends to make a cash offer of $1.27 per share for all the shares
in Banksia that it does not already own.

The independent directors of Banksia have considered the offer and unanimously recommend that Banksia
shareholders accept Lion´s offer.

Baron Partners were engaged as an Independent Expert and have declared the offer to be fair and reasonable.
